Affiliate Program Agreement

This Affiliate Program Agreement ("Agreement") governs your participation in the JoySchooler affiliate program (the "Program") operated by JoySchooler Inc. ("JoySchooler", "we", "us", or "our"). By applying to the Program, enrolling as an affiliate, using a JoySchooler referral link or code, or checking the acceptance box in your account, you ("Affiliate", "you", or "your") agree to this Agreement.
This Agreement is intended to keep the Program simple, honest, and useful: you introduce JoySchooler to families who may benefit from it, and we pay you a commission for eligible paid referrals.
1. Eligibility
To participate in the Program, you must be at least 18 years old, or the age of majority in your jurisdiction, and you must provide accurate account, contact, country-of-residence, tax, and payout information. We may approve, reject, suspend, or remove any affiliate from the Program at our discretion.
You are responsible for keeping your account information accurate, including your payout email, country of residence, and any tax or vendor information we request. We are not responsible for delayed, failed, or misdirected payouts caused by inaccurate information that you provide.
2. Independent Relationship
You are an independent contractor and not an employee, agent, partner, franchisee, legal representative, or joint venturer of JoySchooler. You may not make commitments, promises, warranties, or representations on behalf of JoySchooler, and you may not imply that you are employed by or officially speaking for JoySchooler.
3. Referral Links, Codes, and Attribution
If you are accepted into the Program, we may provide you with a unique referral link, discount code, or other tracking method. You may share your approved link or code with your audience in accordance with this Agreement.
A referral is eligible only when a new customer subscribes to an eligible JoySchooler family plan using your referral link or code, and the referral is properly attributed to you in our systems. Unless your dashboard or written Program terms say otherwise, commissions apply only to the customer's first paid family-plan subscription payment. Renewals, subsequent payments, school plans, district plans, enterprise plans, existing customers, self-referrals, test transactions, fraudulent transactions, and manually adjusted subscriptions are not eligible for commission.
If more than one affiliate may be connected to the same customer, we may determine attribution in good faith based on the discount code used, referral link data, timestamp, customer record, fraud checks, and other reasonable factors. Our records are the source of truth for referral attribution and commission calculations.
4. Commissions
Your commission rate, eligible plans, customer discount, payout minimum, and refund or holding period will be shown in your affiliate dashboard or otherwise communicated to you in writing. Unless stated otherwise, commission is calculated on the subscription amount actually paid by the customer after discounts and credits, excluding sales tax, VAT, GST, similar taxes, refunds, chargebacks, reversals, and fraudulent or disputed payments.
Commissions may be declined, withheld, reversed, or deducted from future payouts if the related customer payment is refunded, charged back, reversed, disputed, canceled during the applicable refund window, found to be fraudulent, or generated in violation of this Agreement.
We may correct calculation, tracking, or payout errors at any time. If you receive a payout in error, you agree to return the overpaid amount or allow us to deduct it from future commissions.
5. Payouts
A commission becomes available for payout only after the holding period or refund window shown in your dashboard has passed. Payouts run automatically on a monthly schedule once your available balance reaches the minimum payout amount shown in your dashboard; balances below the minimum roll over to the next payout run.
We may pause, delay, or withhold a payout while we review fraud, refund risk, tax information, compliance issues, account ownership, or possible violations of this Agreement.
Payouts are sent through Stripe Connect. To receive payouts you must complete Stripe's hosted onboarding, where Stripe collects the identity, bank, and tax information needed to pay you. JoySchooler does not collect or store your bank account number, routing number, sort code, IBAN, or equivalent bank details. Your use of Stripe is also subject to Stripe's connected account agreement and privacy policy.
Payouts are currently made in US dollars; Stripe may convert the amount to your local currency when it is deposited to your bank. Commissions recorded in a currency we do not yet support for payout remain in your pending balance until we support that currency or convert the amount, and they are not forfeited solely because of their currency.
You are responsible for any currency conversion effects, intermediary fees, recipient-bank fees, or payment-provider fees that apply to your payout, unless we expressly state otherwise. If a transfer fails, is rejected, or cannot be completed because your information is inaccurate or your Stripe account is incomplete, the amount returns to your unpaid affiliate balance and is retried on a later payout run once you update your payout information.
6. Taxes and Vendor Information
You are solely responsible for reporting and paying any taxes, duties, levies, or other government charges arising from commissions you receive. You are responsible for determining whether you must register for, collect, report, or remit any income tax, sales tax, VAT, GST, or similar tax in your jurisdiction.
We may request tax, identity, residency, business, or vendor information from you before making payouts or continuing your participation in the Program. This may include forms or information relevant to Canada, the United States, the United Kingdom, Australia, or another jurisdiction. If you do not provide requested information, we may delay or withhold payouts until the information is complete.
We may report payments to tax authorities where required by law. Nothing in this Agreement is tax advice, and you should consult your own tax advisor if you are unsure about your obligations.
7. Disclosures and Advertising Compliance
You must clearly disclose your relationship with JoySchooler whenever you promote JoySchooler, share a referral link, share a discount code, make a recommendation, publish a review, or post content that may generate commission for you.
Your disclosure must be clear, prominent, easy to understand, and placed where people will see it before or at the time they engage with your recommendation, link, or code. It must not be hidden in a profile bio, buried in a long caption, placed only at the bottom of a page, obscured by hashtags, or expressed only through vague terms such as "partner", "collab", "thanks to", or "affiliate" if the commercial relationship is not otherwise clear.
Acceptable disclosure examples include:
- "Ad: I earn a commission if you sign up for JoySchooler using my link."
- "I may earn a commission if you use my JoySchooler code."
- "Sponsored/affiliate: JoySchooler pays me a commission for eligible signups."
You are responsible for following all advertising, endorsement, consumer-protection, privacy, anti-spam, and platform rules that apply to your content and audience, including rules in Canada, the United States, the United Kingdom, Australia, and any other country where your audience is located. This includes requirements from regulators such as the Competition Bureau of Canada, the U.S. Federal Trade Commission, the UK Advertising Standards Authority and CAP, and the Australian Competition and Consumer Commission, where applicable.
You must base any review, testimonial, or endorsement on your honest opinion and actual experience. You must not make misleading claims, unsupported claims, exaggerated claims, or guarantees about JoySchooler, including claims about academic results, learning outcomes, school performance, exam results, special education outcomes, therapeutic benefits, or suitability for a particular child or family.
8. Acceptable Conduct
You agree not to:
- refer yourself or use your own referral code for your own subscription;
- create fake, duplicate, or misleading customer accounts;
- use bots, fake clicks, cookie stuffing, forced clicks, misleading redirects, or other artificial tracking methods;
- send spam, unsolicited bulk messages, or unlawful commercial emails or texts;
- bid on JoySchooler trademarks, misspellings, branded search terms, or confusingly similar terms in paid search ads without our written permission;
- register domains, social handles, ads, or pages that impersonate JoySchooler or create confusion about your relationship with JoySchooler;
- misrepresent JoySchooler pricing, discounts, product features, availability, privacy practices, or terms;
- use false urgency, fake scarcity, fake reviews, fake testimonials, or misleading comparisons;
- place JoySchooler links or codes on coupon, voucher, cashback, deal, or discount-aggregation sites without our written permission;
- promote JoySchooler on websites, channels, or content that are unlawful, hateful, sexually explicit, violent, deceptive, exploitative, or otherwise harmful to JoySchooler's reputation;
- collect, publish, or share personal information about JoySchooler users, parents, children, students, or families without proper consent and a lawful basis;
- use student names, student work, child images, screenshots, or family information in promotional content without all required permissions; or
- claim or imply that JoySchooler has approved specific promotional content unless we have approved it in writing.
Commissions connected to prohibited conduct may be withheld, reversed, canceled, or deducted from future payouts.
9. Approved Materials and Brand Use
We may provide logos, screenshots, descriptions, copy, links, images, or other promotional materials for use in the Program. You may use those materials only to promote JoySchooler in accordance with this Agreement and any brand or usage instructions we provide.
You may not alter JoySchooler logos, imply ownership of JoySchooler intellectual property, use JoySchooler branding in a misleading way, or create the impression that your website, group, course, social account, or community is owned, operated, endorsed, or controlled by JoySchooler. All JoySchooler trademarks, logos, product names, content, screenshots, and materials remain the property of JoySchooler or its licensors.
We may ask you to remove or change any promotional content that we believe is inaccurate, misleading, non-compliant, outdated, harmful, or inconsistent with JoySchooler's brand or values. You agree to make the requested change promptly.
10. Privacy and Confidentiality
You must protect any non-public information you receive through the Program, including dashboard information, commission data, customer-related information, business information, and Program terms that are not publicly available.
You must not request, collect, store, publish, or misuse personal information from JoySchooler users, parents, children, students, or families on our behalf unless we have expressly authorized you in writing and all required privacy, consent, and security requirements are satisfied.
11. Program Changes
We may update, pause, limit, or end the Program at any time. We may also change commission rates, eligible plans, customer discounts, payout minimums, attribution rules, holding periods, payout methods, or other Program terms. Material changes will apply after they are posted, shown in your dashboard, or otherwise communicated to you, unless a later effective date is stated.
Your continued participation in the Program after a change takes effect constitutes acceptance of the updated terms. If you do not agree to a change, you must stop participating in the Program.
12. Term, Suspension, and Termination
Either party may end your participation in the Program at any time, with or without cause. You may stop participating by ceasing promotion of JoySchooler and contacting us if you want your affiliate account closed.
We may suspend or terminate your participation, disable your referral link or code, withhold payouts, reverse commissions, or remove you from the Program if we reasonably believe that you have violated this Agreement, violated applicable law, harmed JoySchooler's reputation, created legal or compliance risk, or engaged in fraud, abuse, or deceptive conduct.
Commissions that were validly earned, available for payout, and not connected to a violation before termination remain payable, subject to this Agreement and our normal review process. Commissions that are pending, disputed, fraudulent, generated after termination, or connected to a violation may be canceled.
13. No Guarantee
We do not guarantee that you will earn any commission, that any link or code will generate referrals, that tracking will be uninterrupted or error-free, or that the Program will remain available. The Program is provided on an as-available basis.
14. Limitation of Liability
To the maximum extent permitted by law, JoySchooler will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, lost data, or lost opportunities arising from or related to the Program.
To the maximum extent permitted by law, JoySchooler's total liability arising from or related to the Program will not exceed the unpaid commissions validly owed to you under this Agreement for the three months before the event giving rise to the claim.
15. Indemnity
You agree to indemnify and hold harmless JoySchooler, its directors, officers, employees, contractors, and representatives from any claims, losses, liabilities, damages, penalties, costs, and expenses, including reasonable legal fees, arising from or related to your promotional content, your breach of this Agreement, your violation of law, your tax obligations, your misuse of JoySchooler materials, or your interactions with your audience.
16. Governing Law
This Agreement is governed by the laws of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law rules. The courts located in British Columbia, Canada will have exclusive jurisdiction over disputes arising from or related to this Agreement, except where applicable law requires otherwise.
17. General
This Agreement, together with the Program terms shown in your dashboard and the JoySchooler Terms of Service, is the entire agreement between you and JoySchooler about the Program. You may not assign or transfer this Agreement or your affiliate account without our written consent; we may assign this Agreement in connection with a merger, acquisition, or sale of assets. If any part of this Agreement is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. Sections that by their nature should survive termination — including accrued payment obligations, confidentiality, indemnity, limitation of liability, and governing law — survive the end of your participation.
